Introduction
These Terms and Conditions ("Terms") govern your use of the website nakashi.ae ("the Site") and your engagement with the services and products offered by Nakashi Lighting LLC ("Nakashi," "we," "us," or "our").
Nakashi Lighting LLC is a company registered and operating in Dubai, United Arab Emirates, with its office at Al Hudaiba Awards Buildings, Al Mina Road, Dubai, UAE.
By accessing the Site, submitting an enquiry, subscribing to our newsletter, or engaging us for consultancy services or fixture supply, you agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our services.
Use Of The Webstie
2.1 Permitted Use
The Site is intended for business and professional use. You may access and browse the Site for lawful purposes only. You agree not to use the Site in any way that is unlawful, harmful, or disruptive to others.
2.2 Intellectual Property
All content on the Site, including text, images, project photography, brand names, service frameworks, and design elements, is the intellectual property of Nakashi Lighting LLC or is used with permission. You may not reproduce, distribute, modify, or use any content from the Site without our prior written consent.
2.3 Accuracy of Information

Specifications, pricing, and service descriptions are subject to change without notice and should be confirmed directly with us before any reliance is placed on them.

AuraSync Consultancy Services
3.1 Scope of Services
AuraSync is Nakashi's lighting consultancy offering, delivered across three defined service tiers: Refine, Studio, and Complete. The scope, deliverables, timeline, and fee for each engagement are set out in a written proposal or Letter of Engagement issued to the client prior to commencement.
3.2 Engagement Commencement
A consultancy engagement is formally initiated upon receipt of a signed proposal or Letter of Engagement and payment of the required advance deposit. Nakashi reserves the right to decline any engagement at its sole discretion.
3.3 Payment Terms
Consultancy fees are structured as follows:
An advance deposit is required before any work commences. The deposit amount is specified in the proposal and is non-refundable.
Remaining fees are invoiced at agreed project milestones as set out in the proposal. Milestone payments are due within the timeframe stated on the invoice.
Where milestone payments are not received within the agreed period, Nakashi reserves the right to suspend work on the engagement until payment is made.
3.4 No Refunds on Consultancy Fees
All consultancy fees paid to Nakashi, including deposits and milestone payments, are non-refundable. This applies regardless of whether the client chooses to proceed with the project, changes the scope, engages another consultant, or terminates the engagement.
3.5 Client Obligations
The client agrees to provide Nakashi with accurate and timely project information, drawings, specifications, and access to relevant parties as reasonably required for the engagement. Delays caused by incomplete or inaccurate client information may affect the agreed timeline and could result in additional fees.
3.6 Design Intent and Execution
AuraSync's role is to define and protect the lighting design intent throughout the project lifecycle. Nakashi is not responsible for deviations from the approved design that occur during construction or fit-out when those deviations are made without Nakashi's involvement or approval.
3.7 Confidentiality
Both parties agree to treat all project-related information shared during the engagement as confidential and not to disclose it to third parties without the other party's prior written consent, except as required by law.
3.8 Intellectual Property
All design documentation, specifications, lighting layouts, reports, and other deliverables produced by Nakashi under an AuraSync engagement remain the intellectual property of Nakashi Lighting LLC until full payment of all fees has been received. Upon full payment, the client is granted a non-exclusive licence to use the deliverables for the specific project for which they were commissioned.
3.9 Independent Consultancy
AuraSync operates as an independent lighting consultancy. Any fixture or product recommendations made by AuraSync are based solely on design merit and project requirements. AuraSync does not receive commissions from manufacturers or suppliers in exchange for specification recommendations.
AuraSelect Fixture Supply
4.1 Scope
AuraSelect is Nakashi's premium fixture supply offering. Products are sourced directly from approved manufacturers and supplied to clients, contractors, and project teams in the UAE and the broader region.
4.2 Quotations and Orders
All AuraSelect quotations are valid for the period stated on the quotation document, or 14 days if no period is specified. Quotations are subject to manufacturer availability and currency fluctuations. A purchase order or written confirmation is required to initiate supply. Nakashi reserves the right to withdraw or revise a quotation prior to order confirmation.
4.3 Payment Terms
Payment terms for fixture supply are confirmed at the time of order. Unless otherwise agreed in writing, an advance payment is required before goods are ordered from the manufacturer. Nakashi does not hold stock of all products; lead times vary by product and are confirmed at the time of order.
4.4 Delivery
Delivery timelines provided at the time of order are estimates only and are subject to manufacturer production schedules and shipping conditions. Nakashi will make reasonable efforts to communicate delays as soon as they become known. Nakashi is not liable for losses arising from delivery delays outside of our reasonable control.
4.5 Inspection and Acceptance
Clients are responsible for inspecting all goods upon delivery. Any damage, shortage, or discrepancy must be reported to Nakashi in writing within 3 business days of receipt. Claims made after this period may not be accepted.
4.6 Returns and Defects
Goods that are confirmed as defective or incorrectly supplied will be assessed on a case-by-case basis. Returns of correctly supplied goods are not accepted unless agreed in writing prior to the return. All returns must be in original, unused condition and in original packaging.
4.7 Warranties
Product warranties are provided by the manufacturer and are passed through to the client to the extent permitted. Nakashi does not provide additional warranties beyond those offered by the manufacturer. Warranty terms vary by product and are confirmed at the time of supply.
4.8 Limitation of Liability
Nakashi's liability in connection with any AuraSelect supply is limited to the value of the goods supplied under the relevant order. We are not liable for any indirect, consequential, or economic loss arising from product failure, delay, or non-delivery.

5.1 Subscription
By subscribing to our newsletter, you consent to receive periodic communications from Nakashi Lighting LLC regarding our services, projects, industry insights, and related content.

Enquiries and Communications
Submitting an enquiry through the Site does not create a contractual relationship between you and Nakashi Lighting LLC. A binding engagement only exists once a written proposal or agreement has been signed by both parties and any required deposit has been received.
Limitation of Liability
To the fullest extent permitted by applicable law, Nakashi Lighting LLC shall not be liable for any indirect, incidental, special, or consequential loss or damage arising out of or in connection with your use of the Site, the AuraSync consultancy services, or the AuraSelect fixture supply, whether based on contract, tort, or otherwise.
Our total aggregate liability in connection with any engagement or transaction shall not exceed the fees or amounts paid by the client under the relevant engagement or order.
Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence.
Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates, as applied in the Emirate of Dubai. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
Changes to these Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. The "Last updated" date at the top of this page will be revised accordingly. Continued use of the Site or our services after any changes constitutes your acceptance of the revised Terms.
